This End User License Agreement (“EULA”) is a contract between you (the “Licensee”) and the operator of autonomousengine.org (“Licensor”, “we”, “us”) covering the Autonomous Engine software product (“Software”). By installing, copying, or running the Software you agree to be bound by this EULA and by the Terms of Service. If you do not agree, do not install or run the Software.
1. Definitions
- Software — the Autonomous Engine product, including its container images, compiled binaries, any source code or source archives we make available under a source-access add-on, all configuration files, migrations, prompts, models embedded therein, documentation, and any updates, patches, or derivative works we provide.
- Subscription — an active, paid subscription to a tier identified on the pricing page, during the period it covers.
- License Key — the credential we issue that authenticates your Subscription to the Software at runtime.
- Affiliate — an entity that controls, is controlled by, or is under common control with Licensee, where “control” means at least 50% ownership.
2. License grant
Subject to Licensee’s continuous compliance with this EULA and the Terms of Service, and only while a Subscription is active, Licensor grants Licensee a personal, non-exclusive, non-transferable, non-sublicensable, revocable license during the Subscription term to:
- download and install the Software on infrastructure that Licensee owns or controls;
- operate the Software solely for Licensee’s and its Affiliates’ internal business purposes;
- make a reasonable number of copies strictly for backup and disaster recovery of the same deployment.
No other rights are granted. This EULA does not transfer ownership of the Software or any copy of it. Licensor and its licensors retain all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights.
3. Source-access add-on (Agency and Enterprise only)
If Licensee’s Subscription includes the source-access add-on, Licensor will grant the named GitHub user(s) read-only access to a private source repository for the Software for so long as the Subscription and the add-on remain active. Source access:
- does not include the right to create forks outside of Licensee’s organization, to contribute back without a signed contributor agreement, or to share access with any person outside Licensee’s named users;
- does not grant any license other than the one stated in Section 2, and all other restrictions in this EULA apply equally to source code; and
- may be revoked immediately on breach or on lapse of the Subscription.
4. Restrictions
Licensee will not, and will not permit any third party or AI system to:
(a) copy, modify, distribute, sell, lease, rent, sublicense, publicly display, or transfer the Software or any part of it, except as expressly authorized by this EULA;
(b) make the Software available to third parties as a hosted, SaaS, managed, outsourced, or service-bureau offering;
(c) reverse engineer, decompile, disassemble, translate, or otherwise derive the source code, underlying algorithms, or internal structure of the Software, except and only to the extent that applicable law expressly allows such activity despite this prohibition (in which case Licensee will notify Licensor in writing before doing so);
(d) remove, disable, tamper with, obfuscate, or otherwise circumvent any license-verification mechanism, telemetry, watermark, version check, update check, or other technical protection measure in the Software;
(e) share, publish, or transmit the License Key to any person or system other than the Software itself on Licensee’s own infrastructure;
(f) benchmark, analyze, or publish performance data about the Software without Licensor’s prior written consent;
(g) use the Software to build, train, or evaluate a product that competes with the Software, or to extract prompts, model weights, or embedded training data; or
(h) use the Software in violation of any law, including export-control, sanctions, and privacy law.
Breach of this Section 4 is a material breach. Licensor may immediately suspend the License Key, terminate this EULA, and pursue any remedy available at law or in equity.
5. Updates
During an active Subscription, Licensor may make updates to the Software available. Updates become part of the Software and are governed by this EULA. Licensor has no obligation to support any version of the Software more than six months after a newer version is released, and has no obligation to provide updates to Licensees whose Subscription has lapsed.
6. Verification
Licensor may, no more than once per calendar year and with fifteen (15) days’ prior written notice, audit Licensee’s use of the Software to verify compliance with this EULA. Audits will be conducted during business hours, will not unreasonably interfere with Licensee’s operations, and will be at Licensor’s expense unless the audit reveals underpayment or material non-compliance, in which case Licensee will reimburse Licensor’s reasonable costs and pay any underpaid fees.
7. Confidentiality
The Software (including its source code under the source-access add-on), non-public documentation, prompts, and Licensor’s commercial terms are Licensor’s confidential information. Licensee will protect it with at least the same degree of care it uses for its own confidential information (and in any case no less than reasonable care), will restrict access to personnel with a need to know and who are bound by comparable confidentiality obligations, and will not disclose it to third parties.
8. Warranty disclaimer
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND DEFECTS, AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET LICENSEE’S REQUIREMENTS, THAT IT WILL OPERATE WITHOUT INTERRUPTION OR ERROR, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SOFTWARE IS FREE OF HARMFUL COMPONENTS.
AUTONOMOUS OUTPUT. Licensee acknowledges that the Software is an autonomous engineering agent that produces, modifies, and deletes code, commits, branches, pull requests, configuration, tickets, and other artifacts on Licensee’s systems, and that it uses third-party large-language models whose output is probabilistic and not guaranteed to be correct, complete, safe, or non-infringing. Licensee is solely responsible for reviewing and validating all output before relying on it. Licensor does not warrant the correctness, quality, safety, or legality of any such output.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LICENSOR’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS EULA IS LIMITED TO THE AMOUNTS LICENSEE ACTUALLY PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.
The parties agree that the fees reflect the allocation of risk set forth in this Section 9 and in Section 8, that those allocations are essential to the bargain between the parties, and that they apply regardless of whether any limited remedy fails of its essential purpose.
10. Indemnification by Licensee
Licensee will defend, indemnify, and hold harmless Licensor (and its officers, employees, contractors, and Affiliates) against any third-party claim, and pay any damages finally awarded or amounts agreed in settlement, arising out of (a) Licensee’s use of the Software in breach of this EULA or applicable law, (b) any code, content, commit, pull request, ticket, or other artifact produced by or with the assistance of the Software on Licensee’s systems, (c) Licensee’s infrastructure, data, integrations, or third-party services, or (d) injury to persons or property caused by Licensee’s acts or omissions.
11. Term and termination
This EULA takes effect when Licensee first installs or uses the Software and continues for the duration of any active Subscription. It terminates automatically on expiry, cancellation, or non-renewal of the Subscription, and may be terminated immediately by Licensor on material breach by Licensee. On termination Licensee will (i) stop using the Software, (ii) delete all copies in its possession or control, and (iii) on written request, certify that it has done so. Sections 1, 4–10, 12, and 13 survive termination.
12. Export and sanctions
Licensee represents that it is not located in, and is not a national or resident of, any country subject to a comprehensive U.S. embargo, and is not on any U.S. government denied-parties list. Licensee will comply with all applicable export-control and sanctions laws in its use of the Software.
13. Miscellaneous
This EULA is governed by the laws of the Commonwealth of Kentucky, USA, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts in Campbell County, Kentucky (Newport). This EULA, together with the Terms of Service and any Order Form or DPA, is the entire agreement between the parties about the Software. If any provision is unenforceable, it will be modified to the minimum extent needed to make it enforceable, and the remaining provisions will continue in full effect. No waiver is effective unless in writing. Licensee may not assign this EULA without Licensor’s prior written consent; Licensor may assign it in connection with a merger, acquisition, or sale of assets. This EULA is in English; any translation is for convenience only.
